隨著經(jīng)濟的全球化和我國加入WTO，我國的金融業(yè)面臨著越來越激烈的國際競爭，金融控股公司是我國目前在分業(yè)經(jīng)營與監(jiān)管的金融體制下逐步走向混業(yè)經(jīng)營的現(xiàn)實選擇。目前我國的金融控股公司在組建和經(jīng)營過程中存在諸多不規(guī)范不完善之處，并且，隱含著較大的潛在風險。本文第一章從金融控股公司的概念入手，介紹了國內(nèi)外關于金融控股公司的不同定義和幾種不同的分類方法；第二章從市場失靈論和信息不對稱理論闡述對金融控股公司進行法律規(guī)制的理論基礎；第三章分別介紹了美國、英國、日本、韓國以及我國臺灣地區(qū)關于金融控股公司的立法，分析了這些國家和地區(qū)對金融控股公司法律規(guī)制的成功經(jīng)驗；第四章結合我國目前金融控股公司的發(fā)展現(xiàn)狀分析了其所存在的潛在風險；第五章分析了我國金融控股公司法律規(guī)制缺位的成因，并從八個方面對我國金融控股公司法律規(guī)制的構建提出了建議。
