(a) Receiving Party will safeguard the Confidential Information and to prevent any unauthorized access, reproduction, disclosure, and/or use of any of the Confidential Information.(b) Receiving Party will not disclose the existence, content, and/or substance of any of the Confidential Information to any third party, other than its employees, directors or officers with a bona fide need to know. Any disclosure to such employees, directors or officers shall be made only to the extent necessary to carry out the Purpose of the Disclosure.
